CONFIDENTIALITY AGREEMENT
Welcome to Reserva's website. This Confidentiality Agreement (“Agreement”) is between you and your entity, as applicable, (“you” or “your”) on the one hand, and Reserva Inc or its affiliates (the “Company”) on the other hand. It is legally binding once you accept its terms. It is meant to protect the Company’s pricing information and contains the terms and conditions you agree to comply with in order to access those pricing terms, which are proprietary and confidential (“Confidential Information”).
NOW, THEREFORE, by accepting these terms and conditions you agree to be legally bound as follows:
1. You agree to maintain as confidential and to not disclose any Confidential Information to any third party or individual within your organization that does not have a need to know the Confidential Information. You agree to protect Confidential Information by using the same care and diligence that you use to protect your own proprietary and confidential information, but in no case less than reasonable care. You agree to ensure that your employees, officers, directors, and agents abide by the terms of this Agreement.
2. You agree that the Company will suffer irreparable injury if its Confidential Information you breach of this Agreement. You agree that this Agreement contains the entire agreement between you and the Company and in no way creates an obligation for the Company to disclose information to you or to enter into any other agreement. This Agreement shall be governed and enforced exclusively by the laws of the state of California and you expressly agree that the venue of any action arising out of or related to this Agreement shall be in the state or federal courts covering San Mateo County, California. You understand and agree that (a) the pricing information provided to you by the Company is subject to change without notice and is not intended to be legally binding on the Company; and (b) this Agreement does not obligate the Company to enter into any agreement with you and that the Company reserves the right to withdraw from any negotiations that follow this Agreement at any time.
